Acceptable Use Policy

This Acceptable Use Policy (“AUP”) sets forth rules that apply to the use of any products, services, or other offerings (collectively, the “Services”) of Vorto Technologies, LLC (“Vorto”) by you or any other person to whom you grant the right to access and use of the Services (collectively, “you,” or “your”). Your use of the Services must comply with this AUP. This AUP is not exhaustive, and Vorto reserves the right to take remedial action in connection with uses not specifically described below. Vorto may modify this AUP at any time by posting a revised version on Vorto’s website.
This AUP is intended to supplement, rather than replace, any existing terms and conditions, agreements, or other contractual obligations (collectively, “Agreement”) entered into by you and Vorto governing the provision of Services to you. In the event of a direct conflict between the terms of this AUP and an applicable Agreement, the provisions of the Agreement shall govern to the extent necessary to resolve such conflict. Capitalized terms not defined in this AUP have the meanings given in applicable Agreement. In your use of the Services, you acknowledge and agree to the following:
1. Data Integrity Requirements
You will not provide, upload, store, post, or transmit data or information that:
Is false, inaccurate, misleading, or incomplete;
Contains fictitious pickup or delivery locations, cargo descriptions, weights, dimensions, or contact information;
Misrepresents your identity, authority, or relationship to any shipment or Load; or
Is intended to deceive any party about the nature, location, or status of Freight Services.
2. Platform Usage Restrictions
You will not use the Services in a manner that:
Extends workflows or features beyond their intended market or operational scope;
Circumvents geographic, operational, or functional limitations built into the Services;
Modifies or adapts platform functionality for markets, cargo types, or operations for which such functionality was not designed; or
Uses automated tools or processes to manipulate platform workflows or bypass intended usage patterns.
3. Prohibited Fraudulent Activities
You will not and will not attempt to:
Engage in location fraud, including GPS spoofing, false geofence entries, or misrepresentation of your actual physical location;
Submit altered, doctored, or fabricated images, documents, or proof of delivery materials;
Falsely represent the completion, status, or details of Freight Services or deliveries;
Use technological means to manipulate location data, timestamps, or other tracking information;
Impersonate other motor carriers, drivers, or authorized personnel; or
Create false records of pickup, delivery, or transit activities.
4. Re-brokering and Authority Violations
You will not and will not attempt to:
Re-broker, transfer, or assign Loads to other motor carriers;
Grant access to your account to unauthorized motor carriers or allow them to accept or handle Loads on your behalf;
Facilitate the transportation of Loads by motor carriers other than those properly authorized under your account;
Violate applicable laws or regulations;
Operate as a property broker without valid FMCSA or broader DOT broker authority; or
Engage in double-brokering or other unauthorized intermediary activities that violate federal transportation regulations.
5. Account Security and Management
You will not and will not attempt to:
Share account credentials with unauthorized individuals or entities;
Allow persons not employed by or contracted with you to access or use your account;
Maintain active access for former employees, contractors, or drivers after termination of their relationship with you;
Create multiple accounts to circumvent platform restrictions or enforcement actions; or
Use another party’s account or credentials to access the Services.
6. General Prohibited Conduct
You will not and will not attempt to:
Engage in deceptive or illegal activities (including “spoofing,” “phishing,” or fraudulent schemes);
Transmit spam or other unsolicited communications to other users;
Use the Services in violation of data, privacy or other applicable laws or regulations;
Use the Services to engage in, promote, support, or facilitate discriminatory or violent activities, whether online or offline;
Publish benchmark or performance information about the Services without Vorto’s consent; or
Engage in any activity that Vorto determines in its sole discretion will cause liability to Vorto or is otherwise objectionable.
7. System Disruption
You will not and will not attempt to:
Access the Services through unauthorized means (for instance, scraping or crawling);
Disable or interfere with the Services or circumvent any security or access controls;
Monitor traffic on the Services without Vorto’s permission;
Probe, scan, penetrate, or test the vulnerability of Vorto’s system or network; or
Try to access other users’ data or accounts without their express permission.
8. Others
You will not permit or encourage others to commit any of the actions above.
Vorto may monitor compliance with this AUP and investigate any violations. If Vorto determines that you or your content violates this AUP, Vorto may remove or suspend access to your content or suspend your access to the Services. Vorto may report any activity that Vorto suspects violates any law or regulation to law enforcement officials, regulators, or other appropriate third parties, and cooperate with them to investigate and prosecute illegal conduct. Vorto reporting may include disclosing information related to the violation of this AUP.
If you become aware of any suspected violation of this AUP, please notify Vorto at help@vorto.ai and provide a full explanation of the bases for the violation.
